Pavan is a Partner based in the Vancouver office and is the Co-Head of our National Tech M&A Group. Pavan’s practice focuses on advising public and private companies and private equity firms on domestic and international mergers and acquisitions, capital markets, corporate finance, venture capital and other corporate and commercial transactions. He also regularly advises clients on securities regulatory compliance, corporate governance and start-up matters, and represents clients in various industries, including technology, financial services, consumer products, mining and manufacturing. He has been recognized nationally as a leading lawyer in his field in Chambers Canada, Lexpert’s Canadian Legal Directory, Lexpert Special Edition – Technology, Lexpert Special Edition – Global Mining, Lexpert Special Edition – Finance and M&A and Thomson Reuters Stand-Out Lawyers as well as one of Canada’s leading lawyers under 40 in Lexpert Rising Stars: Canada’s Leading Lawyers Under 40.
Prior to joining McCarthy Tétrault, Pavan was a corporate lawyer with Davis Polk & Wardwell LLP, one of New York’s leading international law firms, where he was based in its New York office from 2008 to 2012 and its Hong Kong office from 2012 to 2014, while also spending considerable time working with its Silicon Valley Menlo Park office. Pavan is also a Certified Public Accountant and was previously an auditor with KPMG LLP.
Pavan’s experience includes:
- advising Canadian, U.S. and international acquirers, targets, private equity firms and financial advisors on mergers and acquisitions, including public, private and cross-border M&A, private equity transactions and leveraged buyouts;
- advising issuers, underwriters and private equity sponsors on domestic, U.S. and cross-border securities offerings of equity and debt, including initial public offerings, secondary and follow-on offerings, private placements, acquisition financings, high-yield debt offerings and tender offers;
- advising on venture capital financings and start-up matters for technology companies; and
- advising on inbound and outbound financial and strategic investments and joint ventures.
Pavan has advised on corporate transactions originating in over 25 countries across a number of continents, with a particular focus on Canada, the U.S., China, India and other parts of Asia. Landmark transactions he has previously advised on have included the largest ever public equity offering by a U.S. utility company (selected "Americas Equity Issue of the Year" by International Financing Review), the largest ever public equity offering by a U.S. oil and gas exploration and production company, the largest ever acquisition of a Canadian e-commerce company, the largest ever public-private partnership project in the U.S., one of the largest ever private equity acquisitions in India and one of the largest ever leveraged buyouts in the Philippines.
Pavan received his BBA from Simon Fraser University in 2003 and his LLB from the University of British Columbia in 2008, where he was the recipient of a number of awards including the Blakes Scholar Award, Law Foundation of BC Award, Peter Howard Memorial Award, Law Foundation of BC Scholarship, Graduating Class of Law ‘53 Scholarship and prizes in corporate law, corporate transactions, real estate transactions and torts. He is called to the bars of British Columbia and New York and is a member of the Canadian Bar Association, the Law Society of British Columbia, the American Bar Association, the New York State Bar Association and the American Institute of Certified Public Accountants. He is a committee member of the M&A Trends and Private Equity/Venture Capital committees of the American Bar Association and is a working group member of the ABA Canadian Private Target M&A Deal Points Study. He is also the co-editor of the Annotated British Columbia Securities Legislation book published by LexisNexis.
Pavan is also an Adjunct Professor at the University of British Columbia, Allard School of Law, has been a co-author of a number of articles in the areas of securities law and capital markets for the Practising Law Institute, has been a national lecturer in the areas of accounting and finance for lawyers as well as M&A transactions for the Canadian Bar Association and was previously the vice chair on the board of directors of The Learning Disabilities Association of Vancouver, a non-profit organization focused on supporting children with learning disabilities. Pavan is also the founder of a unique pro bono program with non-profit community partners that is dedicated to providing pro bono legal assistance to asylum seekers and refugee claimants from conflict zones who have young children.
