Audrey is a partner in the firm’s Calgary office and a member of our Financial Services Group. Her practice is focused on structuring and completing domestic and international financing transactions, frequently advising both lenders and borrowers as they navigate matters involving complex financing structures. She also occasionally assists our Bankruptcy & Restructuring Group with structuring credit facilities for distressed debtors.
Audrey works primarily in the areas of energy, oil and gas and related service industries, power generation and renewable energy. She also has experience in a wide range of other industry sectors.
Audrey regularly acts on behalf of Canadian and foreign financial institutions and corporations in respect of their debt transactions. She also acts as agent counsel to international law firms, providing Canadian legal advice on cross-border debt transactions, security and related matters.
Recent Experience:
- Confidential Client: Advising the lenders in connection with C$1.5 billion syndicated senior unsecured revolving facility to the holder of energy infrastructure assets, including pipelines and clean energy power projects.
- ATB Financial: Advising the bank as administrative agent and the lenders in connection with the C$52 million project financing for the development, construction, ownership and operation of Maxim Power Corp.’s 204 MW natural gas fired electrical generation facility located near Grande Cache, Alberta.
- BluEarth Renewables Inc.: Acting a counsel in connection with the C$150 million project financing for the development, construction, ownership and operation of the 54 MW Loyalist solar power project near Kingston, Ontario.
- Surge Energy Inc. Acting as counsel in respect of its syndicated credit facilities in the amount of C$250 million led by National Bank of Canada.
- Canadian Chartered Bank: Advising the administrative agent and a syndicate of lenders, on a C$210 million syndicated project financing used for the development, installation, construction, ownership, operation and maintenance of the 33 MW Narrows Inlet Hydro Project located 75 km northwest of Vancouver, British Columbia.
- Canadian Chartered Bank: Advising the bank as administrative agent and the lenders in connection with the C$75 million project financing for the development, construction, ownership and operation of the 29.2 MW Bull Creek Wind Project in Alberta.
- Canadian Chartered Bank: Acting as counsel to the administrative agent and the lenders in connection with the C$215 million project financing for the development, construction, ownership and operation of the 58.32 MW Bow Lake wind power project. The Bow Lake wind power project is owned by a limited partnership with the Batchewana First Nation and BluEarth Renewables as limited partners and represents one the largest economic partnership between a First Nation and a wind energy developer in Canada.
- Canadian Chartered Bank: Advising the bank as administrative agent and collateral agent for a syndicate of lenders providing credit facilities in the amount of C$216 million for the development, construction, operation and ownership of a portfolio of four solar power projects in Ontario with 38.5 MW of capacity.
