Shea is a Corporate Partner and Co-leader, Global Mining and serves on the firm's executive as International and Business Strategy Leader. Shea has an international practice based in Toronto, Canada and London, UK focusing on mergers and acquisitions, private equity, joint ventures and capital markets transactions.

Deeply Connected in the Metals and Mining Industry

 Shea has significant industry expertise and deep industry connections and is widely regarded as a leading lawyer in the global mining sector, particularly for complex multi-jurisdictional transactions. Shea is Chambers-ranked, repeatedly recognized as a leading mining lawyer by Lexpert and has an Acritas Star for his joint venture and international expertise in the mining sector.

Mergers and Acquisitions 

Shea acts for acquirers, targets, controlling shareholders and special committees on public and private M&A transactions including PIPE transactions and divestitures. Some of his recent experience includes: 

  • advising Newcrest Mining on its strategic investment in and exploration joint venture with Lundin Gold, a TSX-listed mining company that owns the Fruta del Norte gold project in Ecuador
  • advising Rio Tinto on its investment in and ultimate creep to control of Turquoise Hill Resources (formerly Ivanhoe Mines) a NYSE and TSX-listed mining company that owns 66% of the Oyu Tolgoi copper gold project in Mongolia
  • advising Nordgold on its takeover of Northquest, a TSXV-listed gold exploration company;
  • advising Oil Search on the takeover battle for InterOil, a NYSE-listed oil and gas company;


Private Equity

Shea acts for private equity groups on their acquisitions and portfolio company IPOs and divestments. Some of his recent experience includes:

  • Advising OMERS on its acquisition from Fairfax of interests in Brit plc, a UK-based insurance company, and Eurolife, a Greek insurance company
  • Advising Appian Natural Resource Fund on its acquisition from Aura Minerals of the Serrote da Laje copper gold project in Brazil
  • Advising Proterra Investment Partners on its majority investment in Tacora Resources to fund the acquisition of the Scully iron ore mine in Labrador under a CCAA court-supervised process

Capital Markets

Shea acts for issuers and dealers on public offerings and private placements and has extensive experience with debt offerings by Canadian and foreign issuer. Some of his recent experience includes:

  • acting for GE Capital, Wells Fargo and Ford on their debt programs in Canada;
  • acting for RBC Capital Markets on RBC’s covered bond program in Canada;
  • acting for dealer syndicates on debt offerings by First National Financial and Penske; and,
  • acting for Rio Tinto on its standby commitments for several rights offerings by Turquoise Hill Resources.
