Mike Caldecott is a senior associate in our Competition/Antitrust & Foreign Investment Group in Toronto with a focus on competition and antitrust law and foreign investment review.

Mike provides clients with pragmatic and creative advice across all aspects of competition and antitrust law, including mergers and acquisitions, criminal and civil investigations into unilateral and co-ordinated conduct, distribution and supply-chain arrangements, competition compliance programs and merger appellate litigation. Mike also provides advice to clients on foreign investment merger review under the Investment Canada Act. He has extensive experience in a wide range of industries, in particular in telecommunications and media, consumer products, infrastructure and transport, pharmaceuticals and financial services.

Representative matters at McCarthy Tétrault include acting for:

  • The investor consortium including China-based ANTA Sports Limited, FountainVest Partners and Tencent Holdings Limited, as Canadian counsel, which also included Anamered Investments Inc. in the US$5 billion acquisition of Amer Sports Corporation
  • L3 Technologies, Inc. in its US$33.5 billion merger with Harris Corporation
  • First Data Corporation in its US$22 billion merger with Fiserv
  • Brookfield Infrastructure’s proposed US$8.4 billion acquisition of Genesee & Wyoming Inc.
  • Morningstar Inc’s US$669 million acquisition of DBRS, the world’s fourth largest credit ratings agency.

Prior to joining McCarthy Tétrault, Mike practised for six years in the London, UK office of a major international law firm, where he advised clients on all aspects of EU and UK competition law. Representative matters at his prior firm include acting for:

  • CK Hutchison on its GBP 10 billion proposed acquisition of O2 UK and subsequent appellate litigation before the European Court of Justice
  • Boehringer Ingelheim on its back to back asset-swap transactions in consumer healthcare and animal healthcare products with Sanofi
  • Comcast on its GBP 26 billion acquisition of Sky UK
  • London Stock Exchange Group on its acquisitions of LCH.Clearnet and Russell Investments
  • Tesco on the UK Groceries Code Adjudicator’s investigation into supply chain practices in the retail sector
  • Continental on its US$2 billion acquisition of Veyance Technologies
  • Heinz on its US$23 billion sale to Berkshire Hathaway and 3G Capital

Mike was admitted as a solicitor of England and Wales in 2012 and of Ireland in 2016 and was called to the bar in Ontario in 2019. He is a member of the Law Society of Upper Canada, the Law Society of England and Wales, the Irish Law Society and the American Bar Association. Mike is a frequent writer on competition law topics, including in particular on comparative approaches to competition law enforcement in North America and Europe. He was the co-author of the UK chapter of Getting the Deal Through: Merger Control between 2015 and 2018.

Mike graduated in 2007 with a BA (Hons) in History and in 2008 with an MSt (with Distinction) in American History from the University of Oxford, where he was a Lord Crewe Scholar at Lincoln College. Mike received his Graduate Diploma in Law and Legal Practice Course qualifications from BPP Law School in London, UK.
