Adil is an associate in the Business Law Group in Toronto. He maintains a general corporate and commercial practice, with experience in mergers and acquisitions (including in the context of CCAA proceedings), private equity, and capital markets matters. Adil has assisted both public and private clients across several industries, including: food and beverage; cannabis; retail; technology; and energy.
Adil’s representative experience includes advising:
- Stelco Holdings Inc. in connection with its $3.4B acquisition by Cleveland-Cliffs Inc.
- SNDL Inc. in connection with various transactions involving CCAA proceedings, including its acquisition of Zenabis and the expansion of its retail network through Superette
- DATA Communications Management in connection with a private placement of common shares and its acquisition of the Canadian operations of R.R. Donnelley & Sons
- A cosmetics company in connection with its acquisition of a full-service cosmetics distributor
- Enercare Inc. in connection with its acquisition of HydroSolution
- Northleaf Capital Partners in connection with various investment activities
- Blue Ant Media Inc. in connection with its acquisition of Media Pulse Insights and Technology Inc. and acquisition of the majority control of Toronto Home Shows
- An asset management company in connection with the redomiciliation of investment funds
- The management shareholders of 9 Story Media Group Inc. in connection with an investment by Scholastic Corporation
- Victor Capital Partners in connection with its acquisition of The Coats Company
- Jamieson Wellness Inc. in connection with its normal course issuer bid
Adil joined the firm as a summer student in 2021 and completed his articles with the firm in 2023. As an articling student, Adil was seconded to Nestlé Canada, where he supported the company’s legal team on various corporate and transactional matters.
Adil earned his Juris Doctor with the Business Law Area of Concentration at Western University’s Faculty of Law. While at law school, Adil worked as a case manager for Sport Solution, a legal clinic serving Canadian national athletes. Adil was also president of the Western Law French Society and a mentor in the South Asian Law Students’ Association. Prior to law school, Adil completed a Bachelor of Arts in Philosophy, Political Science, and Sociology at McGill University. While at McGill, Adil was a writer and editor for a popular student-run publication.
Adil was called to the Ontario bar in 2023 and is a member of the Law Society of Ontario and the South Asian Bar Association of Toronto.
