Transform-X acquires DragonWave in receivership

On October 25, 2017, Transform-X Inc. completed the acquisition of DragonWave. The new company will operate under the name of DragonWave-X and will expand its portfolio in the future with new radio solutions that integrate disruptive waveform, antenna and hardware technologies. DragonWave owed over $17.2 million to senior lenders, Comerica Bank and Export Development Canada, and $17.7 million in accounts payable and unsecured obligations.
Transform-X, headquartered in Tucson, Arizona, acquires selected, market-leading, revenue based companies and capitalizes on unique opportunities in the fiber, wired and wireless communications industries.
DragonWave is based in Ottawa and a global supplier of packet microwave radio systems for mobile and access IP networks.
McCarthy Tétrault LLP advised Transform-X with a team led by James Gage that included Trevor Courtis and Sharon Kour (Bankruptcy and Restructuring), Ian Mak (Financial Services) and Benjamin Lai (Intellectual Property).
