On September 20, 2005, TD Banknorth, National Association completed an offering by way of private placement of C$270 million of 4.644% Fixed/Floating Subordinated Notes due September 20, 2022.  The Notes are unconditionally guaranteed by, and constitute subordinated indebtedness of, The Toronto-Dominion Bank.  This private placement was completed by TD Securities Inc., as sole agent.
