Shaw Communications issues $300 million senior note offering

On May 9, 2006, Shaw Communications Inc. issued C$300 million principal amount of its 6.15% senior notes due in May 2016. The offering was made in both Canada and the US pursuant to the Canada/US multijurisdictional disclosure system. The offering was co-led by TD Securities Inc. and RBC Dominion Securities Inc. The rest of the syndicate included CIBC World Markets Inc., Scotia Capital Inc., National Bank Financial Inc., Merrill Lynch Canada Inc. and GMP Securities L.P. The Shaw offering had a large retail component and Shaw offerings continue to be unique in that a large portion of the issues have been placed in the US institutional market even though the notes are denominated in Canadian dollars.

The underwriters were represented in Canada by McCarthy Tétrault LLP with a team that included David Woollcombe, Frank DeLuca, David Randell, Cam Schepp and Mark Hawkins (corporate/securities) and James Morand (tax).
