On April 9, 2018, Resource Capital Fund VII L.P. ("RCF VII") announced that it has acquired a 19.99% stake in Orezone Gold Corporation ("Orezone") through a non-brokered private placement. RCF VII acquired 42,056,250 common shares at a price per share of C$0.80 for total consideration of approximately C$33.6 million.
In connection with the offering, RCF VII and Orezone also entered into an investor rights agreement that grants certain rights to RCF VII provided that RCF VII continues to hold at least 10% of the then issued and outstanding common shares. The acquisition was undertaken by RCF VII mainly for investment purposes.
RCF VII is a mining-focused private equity firm that exists under the laws of the Cayman Islands.
Orezone is a TSX-V listed Canadian exploration and development company, with recent mine development experience in Burkina Faso, West Africa.
