On November 6, 2013, OPMEDIC Group Inc. announced the completion of the amalgamation of OPMEDIC Group and Kemourmedic Acquisition Inc., a wholly-owned subsidiary of Kemourmedic Group Inc., all of the outstanding shares of which are owned by Drs. Pierre St-Michel, Marc Villeneuve and Jean-Yves Fontaine (collectively, the Founders), pursuant to which OPMEDIC Group has been taken private.

Pursuant to the amalgamation, each shareholder of OPMEDIC Group other than the Founders received one redeemable share of the amalgamated corporation for each common share of OPMEDIC Group held immediately prior to the amalgamation and each redeemable share was then immediately redeemed for C$2.90 payable in cash.

OPMEDIC Group, headquartered in Mount-Royal, Quebec, is a provider of a wide range of professional fertility and genetic services.

McCarthy Tétrault LLP represented the special committee of Opmedic Group Inc., as target, with a team led by Patrick Boucher, and including Clemens Mayr and Charles-Antoine Soulière.
