On May 2, 2023, Gold Fields Limited ("Gold Fields") acquired a 50% interest in a partnership with Osisko Mining Inc. ("Osisko") to develop and mine the underground Windfall gold project in Quebec, Canada (the “JV Transaction”). This joint venture is now known as the Windfall Mining Group. Under the terms of the JV Transaction, Gold Fields, through a 100% held Canadian subsidiary, acquired a 50% interest in the feasibility stage of the Windfall project and a 50% interest in the highly prospective Urban Barry and Quévillon district exploration camps.
