On October 6, 2023, Constellation Software Inc. ("Constellation") issued its Series 1 Debentures (the "Debentures") at a price of C$133 per C$100 principal amount representing a proceeds of approximately C$283.5 million. The Debentures were issued as an additional tranche of the outstanding C$282.2 million aggregate principal amount of unsecured subordinated floating rate debentures. The proceeds from the Debentures will be used by Constellation to pay down indebtedness under its existing credit facility.

Constellation, based in Toronto, Ontario, is a diversified software company that acquires, manages and builds industry specific software businesses.
