On November 2, 2020, Computacenter plc (Computacenter), through its wholly-owned subsidiary 5038823 Ontario Ltd. (formerly 1264283 B.C. Ltd.) acquired all of the issued and outstanding common shares (Pivot Shares) of Pivot Technology Solutions, Inc. (Pivot) pursuant to a court-approved plan of arrangement under the Business Corporations Act (Ontario).
Under the terms of the arrangement, each holder of Pivot Shares received cash consideration of C$2.60 for each Pivot Share held. Holders of other outstanding securities including options and restricted share units of Pivot received cash payments pursuant to the terms of the arrangement agreement dated September 8, 2020 between Pivot, Computacenter and 1264283 B.C. Ltd. In total, securityholders of Pivot received approximately C$105.8 million.
Computacenter is a public limited company incorporated under the laws of England and Wales, focused on helping customers to source, transform and manage their IT infrastructure.
