Victoria de Luna is an associate in our Business Law Group in Toronto, with a practice focused on mergers and acquisitions and securities laws matters.
Victoria has experience representing domestic and foreign companies, both public and private, on mergers and acquisitions. She has also worked on a number of capital markets matters, including initial public offerings, follow-on public offerings, and private placements. In addition, Victoria provides advice to public company clients on corporate governance matters and ongoing securities law requirements, including continuous disclosure matters.
Since 2019 she has been a contributor to the Annotated Ontario Securities Legislation book, published semi-annually by LexisNexis.
Some of her recent, publicly announced transactions include acting for:
- Constellation Software Inc., a TSX-listed software company, and its subsidiary, Lumine Group Inc., on the acquisition of California-based software provider WideOrbit, Inc., and related spin-out by Constellation of its Lumine operating group into a new public company listed on the TSX-V
- Constellation Software Inc. and its subsidiary, Total Specific Solutions, on the acquisition of Netherlands-based software provider, Topicus.com B.V., and the related spin-out by Constellation of its TSS operating group into a new public company listed on the TSX-V
- Partners Real Estate Investment Trust in connection with its going private transaction
- Fairfax Africa Holdings Corporation in connection with its strategic transaction with Helios Holdings Limited
- Blue Ant Media Inc. on its acquisition of Marblemedia
- A syndicate of underwriters led by RBC Capital Markets and Haywood Securities in connection with an initial public offering of Arizona Sonoran Copper Company
- Endeavour Mining Corporation on its C$1 billion all-stock acquisition of TSX-listed SEMAFO Inc. which operated the Boungou and Mana gold mines in Burkina Faso
- Constellation Software Inc. in connection with its rights offering to purchase up to $200 million of unsecured subordinated debentures
Victoria obtained her JD from Osgoode Hall Law School in 2016. She received her Bachelor of Environmental Studies (Honours Environment and Business Co-Operative Program) with a minor in Geography and Environmental Management from the University of Waterloo in 2013. She is a member of the Law Society of Ontario, Canadian Bar Association and Ontario Bar Association.
