Marie-France Gagnon is a partner in Montreal and the leader of our Business Law Group for the Québec region. Her practice focuses on corporate finance, asset financing, project financing and banking. She represents banks, financial institutions and other lenders and borrowers in transactions involving the implementation of various types of credits (including cross-border financing) in the energy, pulp and paper, infrastructure and aviation industries, amongst others.

Ms. Gagnon's experience includes the following mandates:

  • Legal advisor to Kruger Trois-Rivières L.P. in connection with the financing of the conversion of a paper machine to produce linerboard and containerboard by way of senior syndicated credit facilities and an Investissement Québec subordinated Loan;
  • Legal advisor to major companies in the pulp and paper industry, the consumer product industry and the energy sector in connection with the implementation of credit and project financing facilities by banking syndicates and other lenders and in connection with reorganizations, sales and acquisitions;
  • Legal advisor to major creditors in connection with the financing of aircrafts and helicopters through loans, leases or leasing;
  • Legal advisor to major creditors in connection with the financing of equipment and inventories through loans, conditional sales, leases or leasing;
  • Legal advisor to GE Capital in connection with the sale of its aircraft lease and loan portfolio to Global Jet Capital;
  • Legal advisor to the Seller in connection with the sale of an helicopter lease and loan portfolio;
  • Legal advisor to the purchaser of a hydroelectric project in British-Columbia in connection with the acquisition financing and the renegotiation of the target’s credit facilities;
  • Legal advisor to a lender in connection with the sale of important commercial real estate loan portfolios in several Canadian provinces;
  • Legal advisor to the senior and subordinate lenders in connection with the financing of a data and colocation centre;
  • Legal advisor to Kruger Energy Montérégie L.P. in connection with the financing of a wind power project in Québec by a banking syndicate and mezzanine lenders;
  • Legal advisor to a banking syndicate in connection with the refinancing of a automotive part company;
  • Legal advisor to the lenders in connection with the financing of an important acquisition in the funeral services industry;
  • Legal advisor to Kruger Energy Bromptonville L.P. in connection with the financing of a construction project of a biomass cogeneration plant by a banking syndicate;
  • Legal advisor to TAD Canco Inc., a subsidiary of Kruger Products, in connection with the financing by Caisse de dépôt et placement du Québec of the construction of a through-air-dried tissue plant;
  • Legal advisor to Kruger Energy Port Alma L.P. and Kruger Energy Chatham L.P. in connection with the financing of wind power projects in Ontario by banking syndicates;
  • Legal advisor to a banking syndicate in connection with the implementation of a financing in favour of a major computer technology company with subsidiaries in numerous countries;
  • Legal advisor to DIP lenders in connection with the restructuring of Mecachrome International under the Companies' Creditors Arrangement Act (Canada);

Ms. Gagnon received her BCL degree from McGill University in 1995 and her BA in Psychology from Université de Montréal in 1992.
