Aldebaran announces spin-out of Centauri Minerals

On June 1, 2026, Aldebaran Resources Inc. ("Aldebaran") announced that it had entered into an arrangement agreement with Centauri Minerals Inc. ("Centauri"), a majority-owned subsidiary of Aldebaran, pursuant to which Aldebaran proposes to spin out approximately 18.5 million common shares of Centauri to Aldebaran shareholders by way of a statutory plan of arrangement under the Business Corporations Act (Alberta).

Under the proposed arrangement, Aldebaran shareholders would receive one new common share of Aldebaran and one-tenth of one Centauri share for each Aldebaran share held as of the applicable record date. Following completion of the arrangement, Aldebaran is expected to retain an ownership interest in Centauri while Aldebaran shareholders would hold a direct ownership interest in Centauri. Completion of the transaction remains subject to shareholder, court and regulatory approvals.

Aldebaran is a mineral exploration company headquartered in Vancouver, British Columbia. Its principal asset is the Altar copper-gold project located in San Juan Province, Argentina.

Centauri is a mineral exploration company focused on Northern Argentina. It holds a portfolio of exploration projects in the provinces of Salta, Catamarca and Jujuy, including the Rio Grande gold-copper project.
