McCarthy Tétrault’s Global Metals & Mining Group Recognized by China Business Law Journal

McCarthy Tétrault has been recognized by China Business Law Journal’s inaugural China Outbound Deals Award (Latin America) for its work advising China’s Zijin Mining Group Co. (Zijin Mining), in its US$400 million acquisition of the Rosebel Gold Mine in Suriname and the firm’s role as Canadian counsel to JCHX Mining Management Co. (JCHX Mining) in its US$100 million acquisition of a 50% ownership interest in CMH Colombia S.A.S. (CMH).

The Zijin Deal

On January 31, 2023, Zijin Mining completed its acquisition from the Canadian company, IAMGOLD Corporation, of a 95% interest in Rosebel Gold Mines N.V., together with certain other interests in and to the Rosebel Gold Mine and the Saramacca Mine, each located in Suriname. Zijin Mining acquired the mines for a cash consideration of approximately US$360 million and release of IAMGOLD's equipment lease liabilities amounting to approximately US$41 million. The remaining 5% interest in Rosebel will continue to be held by the Government of Suriname.

The JCHX Mining Deal

On December 7, 2022, JCHX Mining announced that it will acquire a 50% ownership interest in CMH, a subsidiary of the Canadian company Cordoba Minerals Corp. (Cordoba), for an aggregate consideration of US$100 million. The arrangement converts CMH into a 50:50 joint-venture between JCHX Mining and Cordoba which owns 100% of the Alacrán Project in Colombia, the country’s largest copper mine.

The McCarthy Tétrault team acting as Canadian counsel was led by Joyce Lee and included Gerald Gaunt (Business), Jason Gudofsky, Erin Keogh (Competition/Antitrust & Foreign Investment), and Shawn Doyle (Latin America).
