The deal was originally announced on December 31, 2010, with a binding offer from S.C. Johnson & Son Inc. of US$328 million.

This transaction is part of Sara Lee's strategy to divest its household and body care businesses.

Sara Lee, headquartered in Downers Grove, Illinois, is an American consumer-goods company.

S.C. Johnson & Son, based in Racine, Wisconsin, is a privately held, global manufacturer of household cleaning supplies and other consumer chemicals.

McCarthy Tétrault LLP acted as Canada counsel for S.C. Johnson, as acquirer, with a team led by Éric Gosselin.
