OVERVIEW

As part of the redevelopment of Ontario's 400 series highway service centres, Canadian Tire Corporation Limited (CTC)  and  Kilmer  Developments Limited, an affiliate of Kilmer Van Nostrand Co. Limited,  entered into a  joint venture on March 31, 2010 to build and operate  the gas stations and  associated  convenience stores  in each of those service centres  pursuant to a 50-year agreement with the Province of Ontario and various other entities.   CTC will provide management services and operational expertise to the joint venture and has given the joint venture the right to use the “Canadian Tire” brand on all gas bars and convenience stores.  The redevelopment project is being carried out under the terms of a project agreement between the Province and Host Kilmer Services Centres LP, a joint venture between Kilmer Developments Limited and an affiliate of Host International of Canada Ltd., and will occur over the course of several years, with the first service centres scheduled to open in the summer of 2010.
