Biography

Myreille Gilbert is an associate in the Business Law Group in Québec City. She practices mainly in the areas of corporate law and securities law with particular emphasis on public and private financings, mergers and acquisitions and corporate governance.

Ms. Gilbert’s experience includes participating in the following transactions:

  • Public offering of debentures of Industrial Alliance Insurance and Financial Services Inc. co-led by TD Securities and RBC Capital Markets ($250 million);
  • Overnight bought deal public offering of common shares of Lorus Therapeutics Inc. ($25 million);
  • Private placement of class A shares of Global SeaFarms Corporation ($1.3 million);
  • Overnight bought deal public offering of common shares of Lorus Therapeutics Inc. ($8 million);
  • Sale of Novik Inc. to Clearview Capital Fund III, LP by plan of arrangement ($47 million);
  • N. Harris Computer Corporation’s acquisition of Sand Technology Inc. by plan of arrangement;
  • Sale of Medicago Inc. to Mitsubishi Tanabe Pharma Corporation and Philip Morris Investments B.V. by plan of arrangement ($357 million);
  • Private placement of units of Innovente Inc. with Caisse de dépôt et placement du Québec ($1 million);
  • Sale of Thallion Pharmaceuticals Inc. to BELLUS Health Inc. by plan of arrangement ($6.266 million);
  • Bought deal private placement of common shares of Amaya Gaming Group Inc. ($40 million);
  • Colabor Inc.’s acquisition of T. Lauzon Ltd. ($13 million) and concurrent private placement ($30 million);
  • Public offering of common shares of TSO3 Inc. co-led by Desjardins Securities Inc. and Canaccord Genuity Corp. ($7 million);
  • Bought deal private placement of common shares of Amaya Gaming Group Inc. ($30 million);
  • Initial public offering of Capital Nobel Inc. led by Desjardins Securities Inc. ($5.6 million);
  • Amaya Gaming Group Inc.’s acquisition of CryptoLogic Limited by cash offer ($32.6 million);
  • Private placement of common shares of Amaya Gaming Group Inc. ($107.4 million); and
  • Global SeaFarms Group Inc.’s reverse takeover of Global SeaFarms Corporation (formerly FRV Media Inc.) ($13.7 million).

Ms. Gilbert earned a Bachelor of Civil Law from Laval University in 2010 and was on the Faculty of Law honour roll for the 2009–2010 academic year. While studying at Laval, she worked as an editor for Les Cahiers de Droit. Ms. Gilbert was called to the Québec Bar in 2011.
